Terms of Service

1. The service

EnergyIQ is a multi-tenant platform for energy-invoice management, analytics, carbon/ESG reporting and related features. We may add, change or remove features over time. Some features are available only on certain subscription plans.

2. Accounts & eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for safeguarding credentials and for all activity under your account.
• You must have authority to bind your organisation to these Terms, and users must be at least 18.
• You are responsible for the access you grant to your team members (admins, managers, viewers).

3. Subscriptions, trials & billing

• Paid plans are billed per active store, per month, in Australian dollars (AUD) unless otherwise agreed. Prices are exclusive of GST unless stated.
• Free trials run for the stated period; if no payment method is added before the trial ends, the account may be paused.
• Card subscriptions renew automatically each period until cancelled. You can cancel from the billing portal; access continues until the end of the paid period.
• Enterprise customers may instead be invoiced and pay by bank transfer against a tax invoice on the agreed terms.
• Fees are non-refundable except where required by law, including the Australian Consumer Law.

4. Acceptable use

You agree not to:

• Use the service unlawfully or to infringe the rights of others;
• Upload data you are not authorised to provide, or malicious code;
• Attempt to gain unauthorised access to the platform, other tenants’ data, or our systems;
• Resell, reverse-engineer or copy the platform except as permitted by law;
• Overload, disrupt or circumvent usage limits or security controls.

5. Your data & ownership

As between you and us, you own the data you upload (“Customer Data”). You grant us a non-exclusive licence to host, process and display Customer Data solely to provide and improve the service for you, including processing by our sub-processors as described in our Privacy Policy. You are responsible for the accuracy and lawfulness of Customer Data and for having the rights to provide it.

6. AI features

The platform uses AI to read invoices and generate summaries, insights and recommendations. AI output may be incomplete or inaccurate and is provided for informational purposes only. It is not financial, legal, tax, engineering or compliance advice. You are responsible for reviewing and verifying outputs before relying on them, including for any regulatory or sustainability disclosure.

7. Intellectual property

The platform, including its software, design and trademarks, is owned by EnergyIQ and its licensors. These Terms grant you a limited, non-transferable right to use the service; no other rights are granted.

8. Confidentiality

Each party will protect the other’s confidential information and use it only to perform its obligations under these Terms.

9. Availability & warranties

We aim to keep the service available and reliable but do not guarantee uninterrupted or error-free operation. Except for guarantees that cannot be excluded under the Australian Consumer Law, the service is provided “as is” and we disclaim all other warranties to the extent permitted by law.

10. Limitation of liability

Nothing in these Terms excludes rights you have under the Australian Consumer Law. Subject to that, to the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our total liability arising out of or in connection with the service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim.

11. Indemnity

You will indemnify us against claims arising from your Customer Data or your breach of these Terms or applicable law, except to the extent caused by us.

12. Suspension & termination

We may suspend or terminate access for non-payment, breach of these Terms, or to protect the platform. You may stop using the service at any time. On termination, your right to use the service ends; we will make Customer Data available for export for a reasonable period, after which it may be deleted.

13. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the courts of that jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date; continued use after changes take effect constitutes acceptance.
